Terms and Conditions of Sale – Scale Ova

1. Purpose

These Terms and Conditions of Sale (hereinafter "TCS") define the terms and conditions governing the subscription to and use of the Scale Ova service, published by SAS MV GROUP, a simplified joint-stock company with share capital of 10 euros, registered with the Sens Trade and Companies Register under SIRET number 991 674 805 00015, whose registered office is located at 5b rue des Alouettes, 89100 Soucy, France. The service is accessible at https://scale-ova.ai. Scale Ova offers, through a subscription model, access to a Shopify theme generator powered by artificial intelligence (OVA), including the creation of complete themes (Liquid, CSS, images), templates, technical support, and advanced features depending on the chosen plan.

2. Subscription Plans

Scale Ova is available under two subscription plans, offered on a monthly or annual basis:

  • Premium: 35 euros/month or 350 euros/year – Licence valid for up to 3 Shopify stores – Full access to the OVA AI assistant, generated themes, templates, updates, and technical support.
  • Business: 50 euros/month or 500 euros/year – Licence valid for up to 15 Shopify stores – Full access to the OVA AI assistant with extended quotas, generated themes, templates, updates, and priority technical support.

Both subscriptions provide access to:

  • Complete Shopify theme generation via the OVA AI assistant
  • Direct installation of themes on connected Shopify stores
  • Access to templates and models
  • Service updates for the duration of the active subscription
  • Technical support via email and integrated chat
  • Image generation via OVA Studio

3. Discovery and Trial Tokens

Each new user receives trial credits (tokens) to discover Scale Ova's AI generation features. These tokens allow users to test the OVA assistant and generate themes, sections, and images. Installing generated themes on a Shopify store requires an active subscription. During the current beta phase, all features — including installation on Shopify — are freely accessible to all registered users.

Trial tokens are non-cumulative, non-transferable, and cannot be converted into monetary value. The Publisher reserves the right to modify the number of allocated tokens at any time. The use of trial tokens constitutes immediate execution of the digital service within the meaning of Article L221-28 of the French Consumer Code.

4. Licence of Use

The Shopify themes generated via Scale Ova are granted under a non-exclusive, non-transferable licence. The licence is limited to the number of stores specified in the chosen plan. It is strictly prohibited to resell, redistribute, lend, or make available any themes, generated content, or any materials provided by Scale Ova, whether free of charge or for consideration.

5. Duration and Cancellation

Subscriptions are entered into on a monthly or annual basis, as chosen by the Customer, and are automatically renewed at each billing cycle. The Customer may cancel their subscription at any time from their personal account. Cancellation takes effect at the end of the current billing period. No pro rata refund shall be issued for the remainder of the current period, unless otherwise required by law.

6. Pricing and Payment

Prices are displayed in euros, inclusive of all applicable taxes. Payment is processed securely via Stripe. The subscription is automatically charged at each billing cycle (monthly or annual). All invoices are available in the customer dashboard. In the event of payment failure, the Customer will be notified by email and will have a period to resolve the situation before any service suspension.

7. Promotional Codes and Affiliate Programme

The Publisher may offer promotional codes granting discounts on subscriptions. These codes are subject to specific terms and conditions (validity period, single use, eligible plans) communicated at the time of distribution. They may not be combined or exchanged for their cash value.

Scale Ova operates an affiliate programme allowing eligible users to earn commissions on subscriptions made through their referral link. The terms of the affiliate programme are defined separately and may be modified at any time by the Publisher.

8. Intellectual Property

Scale Ova, its source code, algorithms, the OVA AI assistant, and all content, tools, and technologies made available remain the exclusive property of SAS MV GROUP and are protected by copyright and intellectual property law. Any unauthorised reproduction, modification, distribution, or use is prohibited and constitutes infringement.

9. Right of Withdrawal

In accordance with Article L221-18 of the French Consumer Code, the Customer has a period of fourteen (14) days to exercise their right of withdrawal. However, in accordance with Article L221-28 of the French Consumer Code, this right cannot be exercised for digital content provided on an intangible medium whose execution has begun with the Customer's prior express consent and their express waiver of this right, before the end of the withdrawal period.

The Customer acknowledges that the use of any of the following features constitutes immediate execution of the service and the definitive loss of their right of withdrawal:

  • Generation of a Shopify theme via the OVA AI assistant
  • Installation of a theme on a Shopify store
  • Image generation via OVA Studio
  • Use of any other premium feature reserved for subscribers

The use of trial tokens to generate content constitutes immediate execution of the digital service and loss of the right of withdrawal. If the Customer exercises their right of withdrawal before using these features, they shall be fully refunded for any amounts paid.

10. Liability

The Publisher shall not be held liable for any technical issues related to Shopify, Stripe, third-party applications, or the Customer's own environment. No warranty is given regarding the compatibility of generated themes with all existing Shopify applications. Content generated by the AI is provided as an aid, and the Customer remains solely responsible for its use and compliance with applicable regulations.

11. Force Majeure

The Publisher shall not be held liable for any total or partial failure to perform its obligations if such failure is due to an event of force majeure as defined by Article 1218 of the French Civil Code, including but not limited to: natural disasters, infrastructure outages, cyberattacks, government decisions, pandemics, or any unforeseeable and irresistible circumstances beyond the Publisher's control.

12. Applicable Law and Jurisdiction

These Terms and Conditions of Sale are governed by French law. Any dispute relating to their interpretation or performance shall be brought before the competent courts of Sens (89), subject to mandatory consumer protection provisions applicable to consumers residing in another Member State of the European Union.
